1. Agreement to Terms

3. Orders and Manufacturing Services

All orders for OEM/ODM manufacturing services are subject to the following:

• Quotation: All quotations are valid for 30 days from the date of issue unless otherwise stated
• Order Confirmation: An order is confirmed only upon receipt of a signed purchase order and/or deposit payment
• Minimum Order Quantity (MOQ): Minimum order quantities vary by product type and will be specified in the quotation
• Production Time: Estimated production timelines are provided as a guide and may vary based on order complexity and current production schedule
• Samples: Sample development fees may apply and are typically non-refundable unless agreed otherwise in writing

4. Payment Terms

• Standard payment terms: 30% deposit, 70% balance before shipment (or as negotiated)
• Payment methods: T/T (Bank Transfer), PayPal, or other methods agreed upon in writing
• Prices are quoted in USD unless otherwise specified
• All prices are exclusive of shipping, customs duties, and taxes

5. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, and software, is the property of QICHENG Clothing or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this Site without our prior written consent.

Client designs, logos, and proprietary information shared with us for manufacturing purposes remain the exclusive property of the client. We will not share, reproduce, or use client intellectual property for any purpose other than fulfilling the agreed-upon order.

6. Quality and Returns

We maintain strict quality control standards throughout the production process. In the event of quality issues:

• Claims must be made within 7 days of receiving the goods, supported by photographic evidence
• We will assess the claim and, if valid, offer replacement, repair, or credit at our discretion
• Color variations within industry-accepted tolerances are not considered defects
• Custom-made products are generally non-returnable unless there is a manufacturing defect

7. Shipping and Delivery

• Shipping terms (FOB, CIF, EXW, etc.) will be agreed upon at the time of order confirmation
• Delivery timelines are estimates and may be affected by factors beyond our control (e.g., customs, weather, logistics)
• Risk of loss transfers to the buyer upon delivery to the carrier (FOB terms) or as otherwise agreed
• We work with reputable logistics partners but are not liable for delays caused by third-party carriers

8. Limitation of Liability

To the maximum extent permitted by law, QICHENG Clothing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our Site or services. Our total liability for any claim shall not exceed the amount paid by you for the specific order giving rise to the claim.

9. Confidentiality

Both parties agree to keep confidential all business information, pricing, designs, and trade secrets shared during the course of our business relationship. This obligation survives the termination of any business relationship.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms or our services shall be resolved through amicable negotiation. If negotiation fails, disputes shall be submitted to the competent courts in Dongguan, Guangdong, China.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Your continued use of the Site after changes are posted constitutes your acceptance of the modified Terms.
